Terms of Service

These terms cover your use of the Fabrica software-as-a-service ("Service") operated by Epure Millwork ("Fabrica," "we," "us"). By signing up, you agree to them. If you are signing up on behalf of a shop or business, you confirm you are authorized to bind that organization.

1. Acceptance

By creating a Fabrica account, clicking "Start free," or using the Service in any way, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. The Service

Fabrica is a CRM and operations product for custom fabrication shops — pipeline, estimates, AIA G702/G703 progress billing, change orders, lien waivers, certificate-of-insurance tracking, project management, and time tracking. We may change features, add new ones, or deprecate ones that no shop is using. We will give reasonable notice — at least 30 days — before removing a feature you actively depend on.

3. Accounts & access

3.1 Eligibility. You must be at least 18 and able to enter binding contracts to use the Service.

3.2 Account security. You are responsible for keeping your sign-in credentials secret and for everything that happens under your account. Notify us right away at security@fabricacrm.com if you suspect unauthorized access.

3.3 Users. Each plan tier allows a maximum number of named users. You may add or remove users at any time inside the app, subject to your plan's user limit.

3.4 Free trial. New shops get a 14-day free trial of the Shop tier. No card required to start. We will email you before the trial ends; if you don't subscribe, your account will be locked (not deleted) for 30 days, then deleted.

4. Subscription, fees, renewal

4.1 Tiers and pricing. Current pricing is published at fabricacrm.com/#pricing. We charge monthly or annually depending on your selection. Annual subscriptions are billed up front and renew automatically each year.

4.2 Billing. Subscription charges are processed by Stripe. By providing payment information, you authorize us to charge your method of payment for all fees incurred.

4.3 Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes applicable to your subscription.

4.4 Price changes. We may change pricing. We will give at least 60 days notice before any price change takes effect on an existing subscription, and the new price will apply only at the next renewal.

4.5 Late payment. If a charge fails, we will retry. After 14 days of failed payment, your account will be downgraded to read-only; after 30 days, suspended. You can export your data at any time during this window.

5. Cancellation & refunds

You can cancel any time inside the app under Settings → Billing. Cancellation takes effect at the end of the current billing period; no further charges.

Refund policy. Monthly plans are non-refundable for the current month. Annual plans are pro-rated back if you cancel within 30 days of renewal, less any time used. If we materially break the Service for an extended period and we cannot fix it, we'll refund the period you couldn't use.

6. Acceptable use

You agree not to use the Service to:

  • break any law, including but not limited to laws governing contracts, payments, employment, tax, or export controls;
  • store or transmit unlawful, infringing, defamatory, or fraudulent content;
  • interfere with, attack, or disrupt the Service or another user's use of it;
  • attempt to gain unauthorized access to other tenants' data, or reverse-engineer, decompile, or scrape the Service in bulk;
  • send unsolicited marketing through the Service, or use it as a generic bulk emailer;
  • resell or sublicense the Service without our prior written consent.

We may suspend accounts that violate this section while we investigate. Repeated or serious violations may result in termination without refund.

7. Customer data & ownership

7.1 Your data, your data. You own everything you put into Fabrica — contacts, deals, estimates, invoices, change orders, lien waivers, COI records, time entries, attached files. We claim no ownership over it.

7.2 License to operate. You grant us the non-exclusive, worldwide, royalty-free license needed to host, transmit, render, back up, and otherwise operate the Service on your behalf. This license terminates when you delete the data or close your account.

7.3 Export. You can export your data at any time in standard formats (CSV, XLSX, PDF). On termination, we provide a 30-day export window before deletion.

7.4 No AI training. We do not train any third-party AI model on your shop's data.

8. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (no less than reasonable care), use it only to perform under these Terms, and disclose it only to employees and contractors with a need to know who are bound by confidentiality obligations at least as protective as this section.

9. Intellectual property

Fabrica, the Fabrica name and logo, the marketing site, the underlying software, design, and documentation are owned by Epure Millwork and protected by intellectual-property laws. Nothing in these Terms grants you any right in our intellectual property except the limited right to use the Service in accordance with these Terms.

Feedback you send us — bug reports, feature requests, comments — may be used freely by us without obligation to you, subject to the confidentiality of your own business information.

10. Warranties & disclaimers

We will provide the Service with reasonable care and skill, consistent with B2B SaaS industry practice. Other than that warranty, the Service is provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise — including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected, though we work hard at all three.

Fabrica is not a legal, accounting, tax, or financial-advice product. The AIA G702/G703 documents, change orders, lien waivers, and COI tracking we generate are operational tools — your shop is responsible for ensuring they comply with your contracts, your state's laws, and the requirements of the parties you transact with.

11. Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost goodwill, business interruption, or cost of substitute services — even if advised of the possibility.
  • Each party's total cumulative liability for any claim arising out of or relating to these Terms or the Service is capped at the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim.

These limits do not apply to (a) your payment obligations, (b) your indemnification obligations, (c) breach of confidentiality, or (d) gross negligence or willful misconduct.

12. Indemnification

You agree to defend, indemnify, and hold harmless Fabrica and its officers, employees, and agents from any claim arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your content, or (c) your shop's relationships with its customers, contractors, or other counterparties.

We will defend, indemnify, and hold you harmless from a third-party claim that the Service, as provided by us, infringes that party's US patent, copyright, or trademark — subject to your prompt notice, our control of the defense, and your reasonable cooperation. If such a claim is made or, in our view, likely, we may (i) modify the Service to be non-infringing, (ii) procure a license to continue, or (iii) terminate the affected portion and refund any prepaid fees for the period after termination.

13. Termination

Either party may terminate for convenience at the end of any billing period. We may suspend or terminate immediately if you materially breach these Terms and don't cure within 14 days of notice, or if your use of the Service creates a security risk to other customers.

On termination, your right to use the Service ends. Sections that should reasonably survive termination — payment obligations, confidentiality, ownership, warranties, indemnification, liability limits, governing law — will survive.

14. Modifications to these Terms

We may update these Terms. If we make a material change, we will give at least 30 days notice by email to your account address and by posting an updated version here. Continued use after the effective date constitutes acceptance. If you don't accept, you can cancel.

15. Governing law & disputes

15.1 Law. These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules.

15.2 Venue. Any dispute that is not resolved informally must be brought exclusively in the state or federal courts located in Passaic County, New Jersey, and both parties consent to that jurisdiction and venue.

15.3 Informal resolution first. Before either party files a claim, the parties will try in good faith to resolve the dispute by email, then by phone, for at least 30 days.

15.4 No class actions. Disputes must be brought on an individual basis only. Class actions and class arbitrations are not permitted.

16. Miscellaneous

  • Entire agreement. These Terms plus the Privacy Policy are the entire agreement between us about the Service and supersede prior agreements.
  • Severability. If any provision is unenforceable, the rest still applies.
  • No waiver. Failure to enforce a right is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (outages of underlying providers, natural disasters, acts of government, labor disputes).
  • Independent contractors. We are independent contractors. Nothing here creates a partnership, joint venture, or employment relationship.
